A non-activated OS won't Impact performance.

You shouldn't have any Issues whatsoever. It'd be Interesting to see how It performs with a clean Installation of Windows (wipe every drive/partition), and only Install the bare necessities - drivers etc.

In fact, all my Linux distros/OSes are running as guests on my host physical machine. VMware Workstation accommodates It well.
